Independent Contractor Agreement
INSPIRED HOPE, INC.
This Independent Contractor Agreement (“Agreement”) is made and entered into
as of the date of execution by and between:

Collectively referred to as the “Parties.”
1. Scope of Services
The Contractor agrees to provide general labor and support services as requested by the Company, which may include, but are not limited to, event staffing, cleaning, maintenance, or other related services based on business needs.
Specific assignments, locations, schedules, and scope of work shall be determined at the time of each assignment. The Contractor shall retain control over the manner and means of performing the services, subject only to the general requirements and standards of the Company and/or its clients.
2. Term
This Agreement shall become effective upon execution by both Parties. Contractor’s services shall commence only upon assignment by the Company. The Company reserves the right to assign work at its sole discretion and does not guarantee any minimum amount of work.
This Agreement shall continue until terminated by either Party in accordance with Section 7.
3. Compensation
Compensation for services shall be determined on a per-assignment basis and communicated to the Contractor prior to each assignment.
The Contractor is solely responsible for all taxes, insurance, and other withholdings related to such compensation. Payments shall be made via direct deposit or paper check on a bi-weekly basis, unless otherwise agreed for specific assignments.
4. Independent Contractor Status
It is expressly agreed that the Contractor is an independent contractor and not an employee, partner, or agent of the Company. The Contractor shall have no authority to bind the Company in any manner or to make any commitments on its behalf.
The Contractor is solely responsible for payment of all federal, state, and local taxes; maintaining appropriate insurance coverage, including liability and workers’ compensation (if applicable); and providing their own tools, equipment, and materials necessary to perform the services, unless otherwise agreed for specific assignments.
5. Confidentiality
The Contractor agrees to maintain strict confidentiality regarding all proprietary, client, and operational information obtained during the course of this Agreement and shall not disclose or use such information except as required to perform the services.
6. Indemnification
The Contractor agrees to indemnify, defend, and hold harmless the Company, its officers, employees, and clients from and against any and all claims, damages, liabilities, losses, and expenses, including reasonable attorney’s fees, arising out of or related to the Contractor’s performance or failure to perform under this Agreement.
7. Termination
Either Party may terminate this Agreement at any time with zero (0) days’ written notice.
The Company may terminate this Agreement immediately for cause, including but not limited to breach of this Agreement, misconduct, client request, or failure to perform assigned services.
8. No Guarantee of Work
The Contractor acknowledges that the Company operates on a project-based and client-demand basis. The Company does not guarantee any minimum number of assignments, hours, or income under this Agreement.
9. Assumption of Risk
The Contractor acknowledges that the services may involve physical labor and potential risks. The Contractor voluntarily assumes full responsibility for any injuries, damages, or losses that may occur during the performance of services.
10. No Control
Nothing in this Agreement shall be construed to grant the Company control over the manner or means by which the Contractor performs the services, consistent with independent contractor status.
11. Entire Agreement
This Agreement represents the entire understanding between the Parties and supersedes all prior negotiations, representations, or agreements, whether written or oral.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
13. Acknowledgment of Independent Contractor Status
The Contractor acknowledges, understands, and agrees that:
- They are not an employee of Inspired Hope, Inc.;
- They are not entitled to employee benefits, including but not limited to health insurance, workers’ compensation, unemployment insurance, or paid leave;
- They are responsible for all taxes and filings as an independent business entity;
- They have been advised to consult with their own tax or legal professional regarding their obligations under this Agreement; and
- This status has been fully explained, understood, and voluntarily accepted.
Electronic Signature and Agreement
By checking the box below, the Contractor acknowledges and agrees that they have read and accepted the terms of this Independent Contractor Agreement. The Contractor further agrees that their electronic acceptance and any electronic signature provided shall be legally binding and have the same force and effect as a handwritten signature.
The Contractor also consents to the electronic generation of a finalized PDF version of this Agreement, which will include their submitted information and electronic signature as part of the official record.
Final signature, submitted contractor information, and execution date will be included in the finalized PDF generated upon submission.
